Entity: Ratan Tata Innovation Hub (RTIH) Amaravati Foundation
Location: Amaravati (Onsite; occasional travel to Spokes & partner locations)

Role Summary 1. The Manager Legal, Compliance & Governance will serve as RTIHs in-house legal and governance lead, supporting both the Hub and its affiliated Section 8 Spoke Foundations. This role will manage the complete lifecycle of legal documentation, ensure statutory and regulatory compliance under the Companies Act, 2013, strengthen corporate governance mechanisms, and help institutionalise policies, SOPs, and legal workflows. A key responsibility includes operating a Legal & Compliance Support Desk for startups, providing first-level guidance and facilitating connections with professional partners for advanced matters. The role requires close collaboration with Finance, HR, and Programme teams and coordination with external CS/CA/law firms.
Key Responsibilities
A. Legal Documentation & Contract Management
2. Draft, review, redline, and negotiate a variety of legal documents including NDAs, MoUs, vendor/service contracts, startup/programme agreements, and internal legal instruments.
3. Develop and maintain a repository of standard templates and clause libraries tailored to RTIH and Spoke needs.
4. Organise and manage a secure digital repository for legal documentation with access controls and version tracking.
5. Provide legal advice to internal teams on contract structuring and risk mitigation.
6. Coordinate timely execution and documentation with vendors, startups, partners, and internal stakeholders.

7. Coordinate with empanelled CS firms to ensure Companies Act, 2013 compliance across RTIH and Section 8 Spoke entities (including annual and event-based filings, statutory registers, etc.).
8. Maintain accurate and timely Board documentation: notices, agendas, resolutions, minutes, and action trackers.
9. Monitor compliance calendars and governance checklists, proactively identifying and addressing gaps or non-compliance risks.
10. Support documentation for corporate affairs, ROC filings, and governance processes.
11. Identify, disclose, and manage potential conflicts of interest in relation to investments, CSR partnerships, vendors, and advisors, and ensure appropriate documentation and mitigation mechanisms are in place.
12. Ensure audit readiness by preparing legal and governance documentation for statutory and internal audits, and maintain trackers for closure of audit/compliance observations relating to legal and governance.
C. Policy Development & Governance Frameworks
13. Draft, review, and periodically update internal policies and SOPs across legal, HR, finance, operations, and governance, in consultation with respective function heads.
14. Ensure alignment of policies with MoA/AoA, Government Orders, RTIH Board directives, and good practices for Section 8 companies.
15. Develop practical governance artefacts such as checklists, flowcharts, approval matrices, and templates to support implementation by functional teams.
16. Drive policy rollout, communication, and secure documentation of employee acknowledgements and compliance training records.
D. Legal Operations & Cross-functional Collaboration
17. Design simple, efficient review and approval workflows for legal and compliance processes, including clear touchpoints for Finance, HR and Programme teams.

21. Act as a central liaison with Company Secretaries, Chartered Accountants and external legal counsel for ongoing corporate affairs, compliance, and governance matters.
E. Startup Legal & Compliance Enablement
22. Operate RTIHs Legal & Compliance Support Desk to address routine legal and compliance queries from startups.
23. Provide first-level guidance on contract types, entity incorporation, and key registrations (e.g., PAN, GST, Shops & Establishment licenses).
24. Facilitate access to empanelled law, CS, and CA firms for specialised legal or compliance support.
25. Organise and support the delivery of legal and compliance clinics, workshops, and advisory sessions for startups in collaboration with professional partners and ecosystem stakeholders

CSR Fund Acceptance & Compliance 30. Ensure end-to-end compliance for acceptance, utilisation, and reporting of CSR funds under the Companies Act, 2013.
31. Conduct due diligence on CSR donors and conditions, maintain CSR- specific documentation, registers, and compliance trackers, and coordinate audits and reporting with donors and statutory auditors.
Corporate Affairs Ownership 32. Act as the single-point owner for all corporate affairs matters of RTIH and its Spokes, including secretarial compliance, governance frameworks, statutory policies, and regulator-facing documentation, in coordination with the Strategic Initiatives & Impact Lead, while final fiduciary authority and approvals shall remain with the Board, Committees, and CEO as per the Delegation of Authority framework.
Qualifications & Experience
Essential
33. LL.B from a recognised institution.
34. Hands-on experience in contract drafting, legal documentation, and risk review.
35. Exposure to Companies Act, 2013 compliance and Board/secretarial documentation (through CS firms or in-house corporate affairs/secretarial teams).
36. Prior in-house legal, compliance, governance, or corporate affairs experience.
Preferred
37. Experience in Section 8 companies, not-for-profit organisations, incubators/accelerators, or CSR/innovation-driven entities.
38. LL.M and/or professional certifications in corporate law, governance, compliance, or legal operations.
